The Role

  • The Chief Governance Officer is a strategic leadership position responsible for ensuring high standards of governance in an organisation, including the smooth and efficient administration of the Board, managing compliance & risk and its committees and for supporting the Chair of the Board,
  • The Chief Governance Officer ensures that the group is governed in a way to achieve its objectives and responsibilities and supports the Board, its committees and Senior Management to work together to better serve stakeholders.

Key Responsibilities

  • Oversee the development and compliance of corporate governance requirements, international best practices, business ethics and corporate responsibility ensuring that the company and its employees are complying with regulatory requirements & Internal policies & Procedures
  • Work closely with Managing Directors to facilitate the implementation of good corporate governance practices within the group
  • Advise on the governance adequacy of the current and future overseas investments.
  • Oversee the division of power and accountability between Directors, Management and Shareholders
  • Prepare meeting notices and draft agendas and coordinates the preparation of Board materials and presentations
  • Working with BOD & Managing Director to determine the necessary committees to be formed and their work and schedules
  • Coordinate the administrative details of all BOD and committee meetings, takes minutes and ensure meeting actions and resolutions are adequately documented and tracked for implementation
  • Support BOD in the Succession Plan
  • Maintain primary responsibility for developing independence standards for the Board and its committees and monitoring compliance.
  • Assist the Board / MD in the nomination or recommending changes to committee when appropriate
  • Coordinate the drafting, publication and distribution of the group's annual reports and accounts
  • Develop and administer the annual plans and budget for areas of responsibilities under the CGO such as compliance, Risk Management etc.
  • Insure Comprehensive internal Audit coverage and facilitate execution of Internal Audit assignments.
  • Prepare Committees charters
  • Prepare corporate governance / policy manual for Directors / Management / enterprise risk management framework policies and procedures and oversee implementation and compliance
  • Monitor compliance with committee charters, check consistency between documents and actual practice, and periodically corroborate that the governance documents are compatible with the group's culture and with best practices
  • Perform annual committee review to assess the effectiveness of the committees and determine if new committees are to be added or dissolved.
  • Prepare quarterly board reports that summarise risk activity plans and identify probabilities of occurrence
  • Ensure compliance with all legislative and regulatory disclosures and reporting requirements. Updating the MD on periodic status of lawsuits and subpoena as appropriate
  • Ensure Development of Policies & Programs (Hotline) that encourages managers and employees to report suspected fraud and other improprieties without fear of retaliation. Manager investigations pertaining to frauds, misconduct and allegations.
  • Administer the group Code of Conduct for employees
  • Maintain the group bylaws, constitution, governance guidelines and committee charters.

Candidate Requirements

  • Minimum 15 years relevant experience
  • Arabic Speaking
  • CIA qualification
